Prophix is currently recruiting for Sr. Commercial Counsel to join our Legal Team. The position supports the company’s legal operations negotiating commercial (customer and vendor) agreements. The Sr. Commercial Counsel is a vital member of the company who interacts with other departments such as Sales, Marketing, Operations and Finance. You will leverage your expertise to draft, review, and negotiate complex agreements to provide clear and practical legal advice to the business. The successful incumbent will be an individual who has excellent problem-solving skills, enjoys interaction with colleagues, and is a strong mentor and collaborator.

This position reports directly to the Director of Legal.

What You Will Do at Prophix

  • Draft, review and negotiate contracts with customers and vendors
  • Serve as a point of contact for customers, vendors, channel partners and internal stakeholders on contractual and legal matters
  • Manage stakeholder reviews, escalations, and approvals
  • Work with the director of legal to identify risks and appropriate modifications to contracts to address the same
  • Participate in the implementation of newly procured contract management software
  • Support developing and delivering cross-functional training in contracting practices and procedures
  • Advise internal clients regarding legal issues, including identifying, managing, and communicating risks and opportunities in commercial transactions
  • Contribute to the ongoing development of clause banks and contracting playbooks
  • Contribute to the creation and maintenance of company ESG policies
  • Support bid/proposal review, development or identification of appropriate contracting model and terms and conditions
  • Work with Finance to coordinate contractual insurance requirements and adherence to broader finance requirements
  • Legal research
  • Perform other related duties as assigned

Required Qualifications

  • A law degree/Juris doctor with the required experience
  • Member of the Ontario Bar and in good standing with the Law Society of Ontario
  • 8-10 years of experience negotiating contracts in the software or high-tech sectors
  • Experience working in an in-house legal department setting in a technology company
  • Comprehensive knowledge of contract law
  • Experience supporting medium to large sales organizations that sell technology to mid-market to enterprise sized customers
  • Ability to structure, draft and negotiate a high volume and broad range of commercial contracts
  • Ability to understand business needs and partner with internal customers, cross-functional teams and third parties to find creative solutions to complex problems
  • Proven ability to work quickly and provide entrepreneurial, pragmatic, business-oriented advice and recommendations that appropriately balance the legal risk and business reward
  • Outstanding communication skills, both written and oral, including the ability to advocate for a position while maintaining a collaborative and open-minded approach
  • Skilled at explaining complex legal concepts such that non-lawyers can understand them, the issues and associated risks
  • Strong leadership and interpersonal skills
  • Keen attention to detail, ability to work independently and as part of a team, and excellent organizational skills
  • Ability to manage competing priorities in a fast-paced environment
  • Good judgment and understanding when to ask for guidance or input
  • Proficient in Microsoft Office Suite, Teams, SharePoint, and Adobe
  • Must be legally entitled to work in the country where the role is located. Must be able to travel to the United States, Canada and/or internationally, and have a valid passport

Preferred Qualifications

  • Experience with Conga CLM (contract lifecycle management software) will be an asset
  • Experience with international transactions and data protection/privacy law will set you apart

NOTES

This position is remote, reporting to Prophix’s head office in Mississauga, Ontario, Canada. Interviews will be held remotely.
