Job Summary:

Reporting to the General Counsel & Corporate Secretary, the Legal Director, Corporate & Securities will be an experienced business lawyer, who is ready to manage a diverse portfolio of corporate, securities and compliance matters in a rapidly-growing, fast-paced enterprise. This is an exciting opportunity to help develop and expand the Legal, Corporate Secretarial and Compliance functions at the Toronto-based corporate headquarters of a new, NYSE-listed, multinational company in the clean-tech industry.

Primary Responsibilities:

Working directly with the General Counsel & Corporate Secretary, this role will cover a broad range of responsibilities, including:

  • Advising on compliance with applicable U.S. and Canadian securities laws, as well as NYSE and other corporate governance requirements;
  • Working with Finance, IR and Business teams in the preparation of the Company’s regulatory filings with the SEC, OSC and NYSE, including press releases, material change reports, annual/quarterly reports and annual meeting materials;
  • Helping organize the annual meeting process and proxy circular in collaboration with the IR and Communications teams;
  • Administering corporate compliance programs, including securities trading policies, insider reporting, conflicts of interest reporting, whistleblower reporting, internal investigations, sanctions and anti-corruption law compliance, etc.
  • Advising on and participating in strategic transactions, such as financing transactions, public and private securities offerings, Joint Ventures/Strategic Alliances and M&A transactions;
  • Supporting the Board of Directors on corporate governance matters;
  • Instructing and coordinating legal work by external counsel regarding litigation and disputes;
  • Advising corporate functional areas, including Finance, IT, HR and Communications, regarding diverse matters, including patents, trademarks and licenses; ESG/Sustainability matters (including ESG reports); data protection and privacy; and employment law matters; and general corporate/commercial matters;
  • Assisting in management and administration of global affiliates;
  • Developing strong client relationships and providing business-oriented solutions.

Job Qualifications:

  • LL.B. or J.D. degree
  • Good standing with a Canadian Law Society as well as the New York bar
  • 8+ years’ experience at a leading law firm and/or in the legal department of a public company
  • Exceptional oral and written communications skills and attention to detail
  • U.S. corporate/securities experience is highly desirable
  • International business experience and foreign language skills are desirable
