Commercial Law Clerk

Our client, a successful full service metal recycling corporation, is looking to add a Commercial Law Clerk to their team.

  • At least 5+ years with a Canadian based law firm
  • Canadian experience in commercial and real estate transactions supporting lawyers
  • The Canadian paralegal designation as recognized by the law society

Skillset Summary:

  • Prepare, draft, negotiate and analyze contracts related to a variety of customer, supplier, commercial, financial, and operational matters.
  • Provide legal support with respect to complex business transactions including advisory work, contract interpretation, attending and leading meetings, drafting and responding to key communications, issue resolution and dispute management.
  • Prepare and maintain corporate minute books.
  • Assist and support legal matters involving affiliated companies
  • Oversight of multiple corporate compliance programs.
  • Ensure business is properly informed of legal issues relating to their activities and advise on legal trends and developing areas of law.
  • Ability to analyze contracts from both a legal and business perspective with requisite practical mindset.
  • Good with dealing with people and resolution mindset.
  • Be primary interface with corporate lawyers.
  • Create system to digitally store contracts in easily accessible manner and keep requisite backup documentation and versions (if necessary).

Essential:

  • Minimum of years of experience in law clerk practice in commercial law.
  • Experience drafting and negotiating business contracts at [either a top tier law firm or a large company/organization].
  • Familiar with procurement matters, employment law

Asset (but not required):

  • Intellectual property experience, including initiating clearance searches and drafting and negotiating intellectual property licenses.
  • Familiarity with environmental law.
  • Familiarity with construction law.
  • Familiarity with transportation law and supply chain agreements.
  • Notary and ability to attest to documentations originality.

  • Minimum 5 years of experience, gained preferably in-house at a major corporation and/or in a major law firm.

  • Communication skills – verbal and written fluency in English, effective presentation skills, ability to communicate with individuals at all levels (shop floor personnel to senior management)
  • Effective planning skills with prioritizing, time management skills
  • Willingness to learn the business.
